These Terms incorporate by reference our Terms of Use, Privacy Policy, Research Use Only Policy, and Shipping Policy, each available on the Site.

1. Eligibility and Buyer Representations

By placing an order, you represent and warrant that:

(a) You are at least 21 years of age.

(b) You are a qualified researcher or an authorized representative of a qualified research entity (including but not limited to academic institutions, commercial laboratories, or independent research organizations).

(c) You are purchasing products solely for in-vitro research, analytical, or laboratory use.

(d) You will not use, administer, ingest, inject, apply, or otherwise consume any product purchased from USPP, nor allow any other person or animal to do so.

(e) You will not resell, distribute, or transfer products to any party that intends to use them for human consumption, veterinary use, household use, or any therapeutic, diagnostic, or clinical application.

(f) You have read and agree to the USPP Research Use Only Policy.

(g) All information you provide in connection with your order is true, accurate, and complete.

USPP relies on these representations in accepting your order. Misrepresentation voids the sale and may result in order cancellation, account termination, and forfeiture of any refund.

2. Products

(a) Research Use Only. All products sold by USPP are research chemicals intended exclusively for in-vitro laboratory and analytical research. Products are not intended for and shall not be used in any human, veterinary, household, therapeutic, diagnostic, or clinical application. Products are not approved by the U.S. Food and Drug Administration ("FDA") for any such use.

(b) Product Descriptions. We make reasonable efforts to ensure product descriptions, specifications, and Certificates of Analysis ("COA") are accurate. We do not warrant that descriptions are error-free. Minor variations in appearance, formulation, or packaging may occur.

(c) Availability. All products are subject to availability. We reserve the right to discontinue any product at any time without notice.

(d) Certificates of Analysis. COAs, where provided, reflect testing of the production lot at the time of analysis and are provided for informational purposes. COAs do not constitute a warranty of fitness for any particular purpose.

3. Orders, Pricing, and Payment

(a) Order Submission. Submission of an order constitutes an offer to purchase, not an acceptance. No contract is formed until USPP confirms acceptance of the order, either by email confirmation or by shipment.

(b) Right to Refuse. USPP reserves the right to refuse, cancel, or limit any order at our sole discretion, including but not limited to orders that appear fraudulent, that exceed reasonable research quantities, that originate from jurisdictions where sale is restricted, or that we have reason to believe will be used in violation of these Terms or applicable law. Refusal of an order does not constitute a breach of contract.

(c) Pricing. Prices are listed in U.S. Dollars and are subject to change without notice. The price applicable to your order is the price displayed at the time of order submission. We are not liable for pricing errors and reserve the right to cancel orders placed at incorrect prices, with full refund of any amount charged.

(d) Taxes. Prices do not include sales, use, excise, or other applicable taxes. You are responsible for all taxes associated with your purchase, except taxes on USPP's net income.

(e) Payment. Payment is processed through our third-party payment processor. By providing payment information, you authorize USPP and its processor to charge the full order amount, including taxes and shipping. Declined or reversed payments will result in order cancellation. You agree not to initiate chargebacks for orders properly fulfilled in accordance with these Terms; disputes must first be raised with USPP per Section 10. (f) Fraud Screening. Orders may be subject to fraud screening, identity verification, or additional documentation requests. Failure to provide requested information within a reasonable period will result in order cancellation.

4. Shipping, Title, and Risk of Loss

(a) Shipping. Shipping is governed by the USPP Shipping Policy, incorporated by reference.

(b) Title and Risk of Loss. Title and risk of loss pass to Buyer upon delivery of the product to the carrier at USPP's facility (FOB Origin). Buyer is responsible for filing any claims with the carrier for loss or damage in transit, except as otherwise provided in the Shipping Policy.

(c) Delivery Estimates. Delivery dates are estimates and not guarantees. USPP is not liable for delays caused by carriers, customs, weather, or other circumstances beyond our control.

(d) U.S. Shipments Only. USPP sells and ships products only to addresses within the fifty United States and the District of Columbia. We do not ship to U.S. territories, military addresses outside the United States, or any international destination. Orders containing shipping addresses outside this scope will be cancelled in full.

5. Returns and Refunds

(a) No Returns Default. Due to the nature of research chemicals and the inability to verify chain of custody after delivery, all sales are final. Products may not be returned for refund or exchange except as set forth in this Section.

(b) Damaged or Defective Product. If a product arrives damaged, contaminated, or materially nonconforming to its COA, Buyer must notify USPP within seven (7) days of delivery, including photographs and a description of the issue. USPP will, at our sole discretion, replace the product, issue a refund, or issue store credit. This is Buyer's exclusive remedy for defective product.

(c) Order Errors. If USPP ships the wrong product, Buyer must notify USPP within seven (7) days of delivery. USPP will arrange return shipment at our cost and ship the correct product or issue a refund.

(d) No Returns for Buyer-Side Errors. Returns are not accepted for orders placed in error, products no longer needed, or changes of mind.

(e) Refund Method. Approved refunds are issued to the original payment method within fourteen (14) business days of approval.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(d) Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, USPP's liability is limited to the maximum extent permitted by law.

8. Indemnification

Buyer agrees to indemnify, defend, and hold harmless USPP, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Buyer's breach of these Terms, including any misrepresentation under Section 1;

(b) Buyer's use, misuse, or distribution of any product, including any use in violation of the Research Use Only Policy;

(c) Any human, animal, or environmental harm resulting from products purchased from USPP;

(d) Buyer's violation of any law, regulation, or third-party right.

This obligation survives termination of these Terms.

9. Compliance with Law

Buyer agrees to comply with all applicable federal, state, local, and international laws and regulations in connection with the purchase, possession, use, and disposal of products purchased from USPP, including but not limited to laws governing controlled substances, research chemicals, hazardous materials, import/export, and environmental protection. USPP makes no representation regarding the legality of any product in any specific jurisdiction.

10. Dispute Resolution

(a) Informal Resolution. Before filing any formal claim, Buyer agrees to contact USPP at disputes@usprecisionpeptides.com and provide a written description of the dispute. USPP and Buyer agree to attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceeding.

(b) Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

(c) Binding Arbitration. Any dispute arising out of or relating to these Terms or any product, that is not resolved informally, shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Travis County, Texas. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may not consolidate claims or preside over class or representative proceedings.

(d) Class Action Waiver. Buyer and USPP each waive the right to participate in any class, collective, or representative action. Disputes must be brought individually.

(e) Carve-Outs. Notwithstanding the foregoing, either party may bring an action in small claims court for qualifying disputes, and either party may seek injunctive or equitable relief in any court of competent jurisdiction located in Travis County, Texas, to protect intellectual property or confidential information.

11. Force Majeure

USPP is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemic, supply chain disruption, carrier delay, or failure of third-party services.

12. Modification of Terms

USPP may modify these Terms at any time by posting the revised version on the Site with an updated Effective Date. Modifications apply to orders placed after the Effective Date of the revised Terms. The Terms in effect at the time of order submission govern that order. The exact version of the Terms applicable to any given order is referenced in that order's confirmation email and remains accessible at /legal/terms-of-sale/<version>.

13. Notices

Notices to USPP shall be sent to legal@usprecisionpeptides.com with a copy to US Precision Peptides, 9901 Brodie Lane, Suite 160 PMB893, Austin, TX 78748. Notices to Buyer shall be sent to the email address associated with Buyer's order.

14. Assignment

Buyer may not assign these Terms or any order without USPP's prior written consent. USPP may assign these Terms without notice in connection with a merger, acquisition, or sale of assets.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it enforceable while preserving the parties' intent.

16. No Waiver

USPP's failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

17. Entire Agreement

These Terms, together with the Terms of Use, Privacy Policy, Research Use Only Policy, and Shipping Policy, constitute the entire agreement between Buyer and USPP regarding the purchase of products and supersede all prior agreements, communications, and understandings.
