These Terms of Use ("Terms") govern your access to and use of usprecisionpeptides.com and any related subdomains, applications, or services (collectively, the "Site") operated by US Precision Peptides ("USPP," "we," "us," or "our"). By accessing or using the Site, you ("you" or "User") agree to these Terms. If you do not agree, do not access or use the Site.
These Terms incorporate by reference our Privacy Policy, Research Use Only Policy, and, for purchases, our Terms of Sale and Shipping Policy.
1. Eligibility
(a) You must be at least 21 years of age to access or use the Site.
(b) The Site is intended exclusively for users located within the United States. By accessing the Site, you represent that you are accessing it from within the United States. USPP does not direct the Site to, or solicit users from, any jurisdiction outside the United States, and makes no representation that the Site or its content is appropriate or available for use outside the United States.
(c) You may not access or use the Site if you are barred from doing so under applicable law or have previously been suspended or terminated by USPP.
2. Geographic Scope and Restricted Jurisdictions
(a) United States Only. USPP sells and ships products only within the fifty United States and the District of Columbia. USPP does not sell, ship, or fulfill orders to U.S. territories outside the fifty states, military addresses outside the United States, or any international destination.
(b) State Restrictions. USPP reserves the right to restrict or decline sales to specific states or localities at our sole discretion, including in response to changes in state law, regulatory guidance, or operational considerations. A current list of restricted jurisdictions, if any, is maintained on the Site or made available at checkout. USPP may decline to fulfill any order from a restricted jurisdiction without prior notice.
(c) Compliance. You are responsible for ensuring that your access to the Site, your purchase of any product, and your possession and use of any product comply with all applicable federal, state, and local laws.
3. User Accounts
(a) Account Creation. Certain features of the Site require you to create an account. By creating an account, you represent that all information you provide is true, accurate, current, and complete, and you agree to maintain and update such information.
(b) Credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify USPP immediately of any unauthorized access or use of your account.
(c) Account Security. You are solely responsible for safeguarding your password. USPP will not be liable for any loss or damage arising from your failure to comply with the security obligations in this Section.
(d) One Account Per User. You may not create or maintain more than one account without USPP's prior written consent. You may not create an account using another person's identity or any false or misleading information.
(e) Account Termination by You. You may close your account at any time by contacting USPP at support@usprecisionpeptides.com. Closure does not affect any pending orders or any obligations that have accrued prior to closure.
(f) Account Termination by USPP. USPP may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to suspected violation of these Terms, suspected fraud, or non-use. Upon termination, your right to access the Site under your account ceases immediately. The survival provisions in Section 15(c) apply.
4. Acceptable Use
You agree not to:
(a) Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
(b) Use the Site to purchase products with the intent of human consumption, veterinary use, household use, or any therapeutic, diagnostic, or clinical application, or to resell or transfer products to any party with such intent;
(c) Misrepresent your identity, age, qualifications, or affiliation;
(d) Interfere with or disrupt the Site, its servers, or any networks connected to the Site, including by introducing viruses, malware, or other harmful code;
(e) Attempt to gain unauthorized access to any portion of the Site, other user accounts, or any systems or networks connected to the Site;
(f) Use the Site to transmit unsolicited communications, chain letters, or other unauthorized advertising;
(g) Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent expressly permitted by applicable law;
(h) Engage in any activity that imposes an unreasonable load on Site infrastructure;
(i) Harass, threaten, defame, or otherwise harm any other user or USPP personnel.
5. Automated Access, Scraping, and AI Use
(a) Prohibited Automated Access. Except as expressly permitted in Section 5(b), you may not access, copy, index, scrape, crawl, harvest, or otherwise extract data from the Site by any automated means, including bots, spiders, scrapers, or any software designed to systematically access or copy Site content. You may not bypass, attempt to bypass, or assist others in bypassing any technical measures USPP uses to restrict access to the Site, including robots.txt directives, rate limits, or authentication.
(b) Permitted AI Agent Access for Purchase Decisions. Notwithstanding Section 5(a), an artificial intelligence agent acting on behalf of an identified human user is permitted to access publicly available product pages and informational content of the Site solely for the purpose of supporting that user's good-faith purchase decision. This permission is limited to:
(i) Reading product descriptions, Certificates of Analysis, and informational pages;
(ii) Comparing products or pricing information for the user's decision-making;
(iii) Initiating a purchase on the user's behalf, provided the user is identified as the account holder and explicitly assents to all checkout representations, including those in the Research Use Only Policy and Terms of Sale.
This permission does not extend to systematic crawling, indexing, content reproduction, redistribution, or any use beyond a single user's active purchase consideration.
(c) No Use for AI Training. You may not use, and you may not permit any third party to use, any content from the Site (including text, images, product descriptions, Certificates of Analysis, branding elements, or any other material) to train, fine-tune, evaluate, benchmark, or otherwise develop any artificial intelligence model, machine learning system, large language model, generative model, or similar system. This prohibition applies regardless of whether the use is commercial, academic, or personal.
(d) No Dataset Creation. You may not compile, aggregate, or distribute Site content as part of any dataset, corpus, or collection, whether or not such dataset is used for AI training.
(e) Reservation of Rights. USPP expressly reserves all rights with respect to text and data mining, automated content extraction, and AI training under applicable law, including without limitation rights under 17 U.S.C. § 1201 and any analogous state, federal, or international law.
(f) Enforcement. Violation of this Section 5 constitutes a material breach of these Terms, may subject the violator to immediate access termination, and entitles USPP to pursue all available legal and equitable remedies, including injunctive relief and recovery of damages and attorneys' fees.
6. Intellectual Property
(a) Site Content. The Site and all content displayed on it, including text, graphics, logos, product images, Certificates of Analysis, layout, design, software, and the compilation of all content, are the property of USPP or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
(b) Limited License. Subject to your compliance with these Terms, USPP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes, and, if applicable, for the purpose of evaluating and purchasing products in accordance with these Terms and the Terms of Sale.
(c) Restrictions. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site, except as permitted by Section 6(b) or as expressly authorized in writing by USPP.
(d) Trademarks. "US Precision Peptides," "USPP," the USPP logo, and other USPP marks are trademarks of USPP. You may not use any USPP trademark without USPP's prior written consent. All other trademarks appearing on the Site are the property of their respective owners.
(e) Feedback. If you submit suggestions, ideas, or feedback regarding the Site or USPP's products, you grant USPP a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without compensation or attribution.
7. User Content
(a) Submissions. The Site may permit you to submit content, including but not limited to product reviews, ratings, comments, questions and answers, forum posts, or other materials ("User Content").
(b) License Grant. By submitting User Content, you grant USPP a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and publicly perform such User Content in connection with the Site and USPP's business, in any media now known or later developed.
(c) Representations. You represent and warrant that:
(i) You own or have the necessary rights to the User Content you submit;
(ii) Your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;
(iii) Your User Content is accurate and not misleading;
(iv) Your User Content complies with these Terms and applicable law.
(d) Prohibited User Content. You may not submit User Content that:
(i) Is unlawful, defamatory, obscene, harassing, threatening, or invasive of privacy;
(ii) Contains personal medical information, claims of personal therapeutic use, dosage recommendations for human use, or any content suggesting human consumption of USPP products;
(iii) Contains spam, advertising, or commercial solicitation unrelated to legitimate product feedback;
(iv) Contains malware, viruses, or other harmful code;
(v) Impersonates any person or entity;
(vi) Violates any third party's rights.
(e) No Obligation to Monitor. USPP has no obligation to monitor User Content but reserves the right to review, edit, refuse, or remove any User Content at any time, in our sole discretion, without notice.
(f) Removal. USPP may remove User Content that, in our judgment, violates these Terms, applicable law, or USPP's policies, or that we determine is otherwise objectionable.
(g) Your Content Is Your Responsibility. USPP does not endorse User Content and is not responsible for User Content submitted by users. You acknowledge that you may be exposed to User Content that is inaccurate, offensive, or objectionable, and you waive any legal or equitable rights or remedies you have or may have against USPP with respect to such User Content.
8. DMCA and Copyright Infringement
(a) USPP respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Site infringes your copyright, please send a notice to USPP's designated agent containing the information required by 17 U.S.C. § 512(c)(3):
(i) A physical or electronic signature of the copyright owner or authorized agent;
(ii) Identification of the copyrighted work claimed to be infringed;
(iii) Identification of the material claimed to be infringing and its location on the Site;
(iv) Your contact information;
(v) A statement that you have a good faith belief that the use is not authorized;
(vi) A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

(c) Counter-Notification. If you believe your content was removed in error, you may submit a counter-notification under 17 U.S.C. § 512(g)(3).
(d) Repeat Infringers. USPP will terminate the accounts of users who are determined to be repeat infringers.
9. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how USPP collects, uses, and protects your information.
10. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by USPP. USPP has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party site or service. You acknowledge that USPP is not responsible for any loss or damage arising from your use of any third-party site or service. Your interactions with third parties found on or through the Site are solely between you and the third party.
11. Disclaimer of Warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USPP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, USPP DOES NOT WARRANT THAT:
(a) The Site will be uninterrupted, secure, or error-free;
(b) Defects will be corrected;
(c) The Site or the servers that make it available are free of viruses or other harmful components;
(d) The information on the Site is accurate, complete, or current;
(e) Any product information, including Certificates of Analysis, is suitable for any particular purpose other than as expressly stated.
Warranties relating to the purchase of products are governed exclusively by the Terms of Sale.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL USPP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF USPP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) USPP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
(c) Liability arising from the purchase of products is governed by the Terms of Sale, not this Section.
(d) Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, USPP's liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless USPP, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your access to or use of the Site;
(b) Your breach of these Terms;
(c) Your violation of any applicable law or any third-party right;
(d) Your User Content;
(e) Your violation of Section 5 (Automated Access, Scraping, and AI Use).
This obligation survives termination of these Terms.
14. Modification of Terms
USPP may modify these Terms at any time by posting the revised version on the Site with an updated Effective Date. If the modifications are material, USPP will provide reasonable notice, which may include posting a notice on the Site or sending an email to account holders. Your continued use of the Site after the Effective Date of the revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and may close your account. The exact version of the Terms applicable to any account interaction is referenced in the relevant order confirmation or assent record and remains accessible at /legal/terms-of-use/<version>.
15. Termination
(a) USPP may, at our sole discretion, terminate or suspend your access to the Site at any time, with or without notice, for any reason, including but not limited to your violation of these Terms.
(b) You may stop using the Site and close your account at any time.
(c) Survival. Upon termination, your right to use the Site ceases immediately. The following provisions survive termination of these Terms: Sections 5 (Automated Access, Scraping, and AI Use), 6 (Intellectual Property), 7(b) (User Content license grant), 8 (DMCA), 9 (Privacy), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 16 (Dispute Resolution), and 17 (General Provisions).
16. Dispute Resolution
(a) Informal Resolution. Before filing any formal claim, you agree to contact USPP at disputes@usprecisionpeptides.com and provide a written description of the dispute. The parties agree to attempt to resolve the dispute informally for at least thirty (30) days before initiating any formal proceeding.
(b) Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles.
(c) Binding Arbitration. Any dispute arising out of or relating to these Terms or your use of the Site, that is not resolved informally, shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Travis County, Texas. The arbitrator may not consolidate claims or preside over class or representative proceedings.
(d) Class Action Waiver. You and USPP each waive the right to participate in any class, collective, or representative action. Disputes must be brought individually.
(e) Carve-Outs. Notwithstanding the foregoing, either party may bring an action in small claims court for qualifying disputes, and either party may seek injunctive or equitable relief in any court of competent jurisdiction located in Travis County, Texas, to protect intellectual property, confidential information, or to enforce Section 5.
(f) Consistency with Terms of Sale. Disputes arising from the purchase of products are governed by the dispute resolution provisions of the Terms of Sale, which control to the extent of any conflict with this Section.
17. General Provisions
(a) Entire Agreement. These Terms, together with the Privacy Policy, Research Use Only Policy, and, where applicable, the Terms of Sale and Shipping Policy, constitute the entire agreement between you and USPP regarding your use of the Site.
(b) Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it enforceable while preserving the parties' intent.
(c) No Waiver. USPP's failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
(d) Assignment. You may not assign these Terms without USPP's prior written consent. USPP may assign these Terms without notice in connection with a merger, acquisition, or sale of assets.
(e) No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and USPP.
(f) Headings. Section headings are for convenience only and do not affect interpretation.
(g) Notices. Notices to USPP shall be sent to legal@usprecisionpeptides.com with a copy to US Precision Peptides, 9901 Brodie Lane, Suite 160 PMB893, Austin, TX 78748. Notices to you shall be sent to the email address associated with your account or, if no account exists, to the email address you provided to USPP.
